These terms govern your use of The Shop by Diemeco at shop.diemeco.com ("The Shop"), provided by Diemeco, Bhagwati Society-1, Dudhsagar Road, Shakti Industrial Zone, Rajkot, Gujarat, India, 360003 ("we", "us"). By signing up or using The Shop you agree to them. If you do not agree, do not use The Shop.
1. What The Shop is
The Shop helps shops that sell to workshops (cutting tools, fasteners, bearings, steel, consumables, machine spares and similar) to be found by workshops near them on Diemeco. You show what you sell; a workshop that needs something asks the shops that sell it; you reply; and the workshop calls you or comes to your shop. We only introduce you. We do not buy, sell, stock, price, deliver or guarantee any goods, we do not take part in your deal, we never handle money between you and a workshop, and we never take a commission. During early access, parts of The Shop arrive step by step; we tell you in the app when each one starts.
2. Your account
- You must be at least 18 and able to enter a binding contract in India, or act for a business that is.
- During early access you sign up with your mobile number and a 6-digit login code you choose, and sign in with them. Once one-time codes by SMS start, we will send a code to your number to confirm it. Keep your code to yourself.
- One mobile number is one account across Diemeco, Digital Office and The Shop. If you also run a workshop on Diemeco, your shop is part of the same account.
- You are responsible for everything done through your account, and for keeping your phone and code safe.
3. Your shop's details
- The details you give (shop name, what you sell, state, city, area, address, shop phone, opening hours, weekly off, delivery) must be true and kept up to date.
- Your shop uses your workshop's GSTIN if you have one on Diemeco, unless you give a different one. Any GSTIN must be your own and active in the GST register; one GSTIN can have one shop.
- Workshops on Diemeco looking for supplies can see your shop's name, what you sell, the items you tick, your area and city, hours, weekly off, delivery, usual reply time and ratings. We never show them your GSTIN or the number you sign in with.
4. Asks and replies
- A workshop may ask the shops that sell an item for it (what, how many, by when). You reply Have it (with your price and when it is ready), Can get it (with when), or Don't have.
- Your reply is your own offer. Price, quality, quantity, delivery, payment, bills and warranty are between you and the workshop.
- When you reply Have it or Can get it, the workshop sees your shop phone so it can call you, and you see the workshop's name and number for that ask. Use a workshop's number only for that ask: no marketing messages, and never pass it on.
- Reply honestly. Do not reply Have it for something you do not have, or give a price you will not honour.
5. Ratings
After buying from you, a workshop may rate your shop. Ratings must be real: do not rate yourself, ask anyone for a false rating, or offer anything in return for one. We may remove a rating that breaks these rules.
6. Digital Office comes with your plan
Your shop plan gives free access to Digital Office, in the same app: quotes, orders, bills, receipts, customers, suppliers and money to collect and to pay. There is no separate payment for it. Everything you keep there is yours. You are responsible for each bill you make: its customer details, HSN/SAC codes, GST rates and place of supply, for keeping your records as the law asks, and for your own GST returns. We provide the format; we are not a tax adviser and do not file anything for you. We never contact your customers or suppliers.
7. Plans and price
- During early access The Shop is free for every shop, and no payment can be made.
- When plans open, one plan covers both The Shop and Digital Office. There is no plan for one without the other. We will show the price in the app, and tell you at least 30 days before any charge starts.
- A plan does not renew by itself. When it ends, you choose whether to take another. One plan runs at a time.
- When a plan ends, nothing is deleted: your shop details and every record in your Digital Office stay available to view and download. Before plans open, we will say in the app what a shop without a plan can still do.
- Refunds follow our Refund Policy.
8. Fair use
Do not use The Shop for anything unlawful: no counterfeit, stolen or banned goods, no false prices or false details, no messages to workshops about anything other than their ask, and no attempt to get into anyone else's data or disturb the service. We may hide your shop, or suspend or close your account, if you do; we will tell you why unless the law prevents it.
9. Closing your account
You can close your account at any time. It is first closed for 30 days: signing in again with the same mobile number in that time brings everything back. After 30 days your shop and your Digital Office are deleted for good and cannot be recovered. Download your bills first: the law asks a business to keep its GST records for several years.
10. Availability and changes
We work to keep The Shop available and your data safe, but we do not promise it will always be uninterrupted or error-free, or that any workshop will ask you for anything. We may change or add features. We may update these terms; if a change is significant we will tell you in the app, and continued use after the change means you accept it.
11. Limits on our liability
The Shop is provided "as is". To the fullest extent the law allows, we are not liable for any goods, prices, deliveries or payments between you and a workshop, for the contents of your bills and records, or for indirect or consequential losses or lost profits. Our total liability to you for any claim relating to The Shop is limited to the amount you paid us for it in the 12 months before the claim arose. Nothing here limits liability that cannot be limited by law.
12. Governing law and disputes
These terms are governed by the laws of India. The courts at Rajkot have exclusive jurisdiction, subject to any non-waivable rights you have as a consumer. Please write to us first at support@diemeco.com so we can try to resolve the problem informally.
13. Other policies
These terms are read together with our Privacy Policy, Refund Policy and Grievance Policy, which form part of them.
